1. Agreement to Terms

By accessing and using AGI-Chat ("Service," "Platform," "we," "us," "our," or "Company"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to abide by the above, please do not use this Service.

AGI-Chat is an advanced AI conversation platform designed to provide intelligent, secure, and human-like interactions. These Terms establish a legally binding agreement between you and AGI-Chat regarding your use of our Service.

2. Use License & Permitted Use

2.1 Grant of License

AGI-Chat grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service for lawful purposes only, in accordance with these Terms. This license does not include the right to:

• Modify or copy the materials or Service
• Sell or commercialize the Service
• Use the Service for competitive purposes
• Remove any copyright or proprietary notations
• Transfer the Service to another person
• Use automated systems (bots, scrapers) to access the Service

2.2 Permitted Use

You agree to use AGI-Chat only for lawful, legitimate purposes including:

• Having intelligent conversations with our AI
• Learning and information gathering
• Brainstorming and creative thinking
• Content writing and editing assistance
• Code review and technical assistance

3. User Accounts & Registration

3.1 Account Creation

To access AGI-Chat, you must create an account using your mobile number. You agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your password and OTP
• Accept responsibility for all activities under your account
• Notify us immediately of unauthorized access
• Be at least 13 years of age (18 in some jurisdictions)

3.2 Mobile Number Verification

You agree that your mobile number serves as your account identifier and may be used for authentication, security, and service communication purposes. You are responsible for ensuring the mobile number provided is valid and in your control.

3.3 Account Security

AGI-Chat is not responsible for unauthorized access to your account if you fail to maintain password confidentiality or if you share your account credentials with others.

4. Prohibited Activities

You agree NOT to use AGI-Chat for any of the following prohibited activities:

• Illegal activities, fraud, or deception
• Harassment, bullying, or threatening behavior
• Creating, distributing, or promoting hate speech or discriminatory content
• Sexual content involving minors (strictly prohibited)
• Attempting to gain unauthorized access or circumvent security measures
• Uploading malware, viruses, or harmful code
• Spamming, phishing, or social engineering
• Violating others' intellectual property rights
• Abusing the Service (excessive requests, DDoS attempts)
• Reverse engineering, decompiling, or attempting to discover source code
• Using the Service for commercial purposes without authorization
• Creating misleading or false information

5. Intellectual Property Rights

5.1 AGI-Chat Content

All content, materials, trademarks, logos, and code within AGI-Chat remain the exclusive property of AGI-Chat or our licensors. You may not reproduce, distribute, or transmit this content without prior written permission.

5.2 User-Generated Content

Your conversations remain your property. However, by using AGI-Chat, you grant us a limited license to:

• Store and process conversations on encrypted servers
• Use anonymized, aggregated data for service improvement
• Retain conversations for the duration of your account (or as legally required)

You retain the right to delete your conversations anytime.

5.3 Third-Party Content

AGI-Chat may include content from third parties. Such use is for informational purposes and does not imply endorsement. You are responsible for verifying the accuracy and legality of third-party content you use.

6. AI-Generated Content & Limitations

6.1 Nature of AI Responses

AGI-Chat is powered by artificial intelligence and may occasionally produce inaccurate, incomplete, or misleading information. You understand and agree that:

• AI responses are not always factually accurate
• AI may have knowledge cutoff limitations
• AI responses should be verified independently for critical decisions
• AGI-Chat is not a substitute for professional advice (legal, medical, financial)

6.2 Reliance on AI Content

You use AI-generated content at your own risk. AGI-Chat is not liable for any damages, losses, or injuries resulting from reliance on AI responses, including but not limited to:

• Financial losses
• Medical or health complications
• Legal consequences from following AI advice
• Reputational damage from AI-generated content

6.3 Content Rights for AI Responses

Content generated by AGI-Chat's AI can be used, modified, and shared freely, unless it contains copyrighted third-party material.

7. Limitation of Liability

7.1 Disclaimer of Warranties

AGI-Chat is provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied. We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Title and non-infringement
• Accuracy, completeness, or reliability of content
• Uninterrupted or error-free service

7.2 Limitation of Damages

To the maximum extent permitted by law, AGI-Chat shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or use
• Business interruption
• Personal injury or emotional distress

Our total liability shall not exceed the amount paid by you in the past 12 months (or $100, whichever is greater).

8. Indemnification

You agree to indemnify, defend, and hold harmless AGI-Chat, its officers, directors, employees, and agents from any claims, damages, losses, and liabilities arising from:

• Your violation of these Terms
• Your use of AGI-Chat Service
• Your user-generated content
• Infringement of others' rights through your actions

9. Service Availability & Maintenance

AGI-Chat strives to maintain 99.5% uptime but does not guarantee uninterrupted access. We may suspend or terminate service for:

• Scheduled maintenance and improvements
• Emergency repairs or security issues
• Your violation of these Terms
• Suspected fraudulent or illegal activity

We will make reasonable efforts to provide advance notice of planned maintenance.

10. Payment, Billing & Refunds

10.1 Free Service

AGI-Chat is currently offered as a free service. Usage may be subject to fair use limits (e.g., rate limiting for excessive requests).

10.2 Future Premium Services

If we introduce premium services or features, you will be informed of pricing, billing terms, and cancellation procedures in advance. Any charges will be clearly disclosed.

10.3 Refund Policy

If we introduce paid services, we will provide a refund policy. Currently, no payments are accepted through AGI-Chat.

11. Termination & Account Closure

11.1 Termination by You

You may request account deletion anytime by contacting support. Your data will be deleted within 30 days, except where legally required to retain.

11.2 Termination by AGI-Chat

We may terminate or suspend your account immediately for:

• Violation of these Terms
• Illegal activity
• Harassment or harmful behavior
• Repeated violations despite warnings

11.3 Effect of Termination

Upon termination, your account will be deactivated. Encrypted conversation data may be retained for a transition period, then deleted unless required by law.

12. Dispute Resolution & Governing Law

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.

12.2 Arbitration & Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in English, except for claims of infringement or unauthorized use, which may be brought in court.

12.3 Informal Resolution

Before arbitration, we encourage you to contact us at support@agi-chat.com to resolve disputes informally within 30 days.

13. Age Restrictions & Legal Compliance

AGI-Chat is not intended for users under 13 years of age. Users between 13-18 may use the service with parental consent. We comply with COPPA, GDPR, and similar age-protection regulations.

14. Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via email or prominent notice on our website. Your continued use of AGI-Chat constitutes acceptance of updated Terms.
